Ownership and Intellectual Property

All rights not expressly granted are reserved by BTIG.

Third-party trademarks, logos, and brand names displayed on the Sites are the property of their respective owners and are used for identification and portfolio purposes only.

All trademarks, service marks, logos, and trade names displayed on the Sites are the property of BTIG or its licensors. Nothing contained on the Sites grants you any license, ownership interest, or other rights in or to any Site Content or intellectual property.

You agree not to remove, alter, or obscure any copyright, trademark, or proprietary notices. Any unauthorized use, reproduction, modification, distribution, or exploitation of Site Content is strictly prohibited. BTIG may seek injunctive relief and all other remedies available at law or in equity in the event of unauthorized use.

Prohibited and Unauthorized Use

You agree that you will not use the Sites to:

• Engage in any unlawful, fraudulent, or unauthorized activity
• Violate any applicable local, state, federal, or international laws or regulations
• Attempt to gain unauthorized access to any systems, servers, or networks connected to the Sites
• Modify, interfere with, hack, or disrupt the operation or security of the Sites

If you are provided login credentials for any secure area of the Sites, you are solely responsible for maintaining the confidentiality of such credentials and for all activities conducted under your account, whether authorized by you or not.

User Submissions and User Content

You retain ownership of the material you send to BTIG. Please send only information you are authorized to share, and do not include unlawful material or information that infringes another person’s rights.

You authorize BTIG to use and share your inquiry and supporting material only as reasonably necessary to assess and answer your request and perform separately agreed services, subject to the Privacy Policy and applicable confidentiality obligations. Sending a brief does not grant BTIG a perpetual license to publish it or use it for unrelated marketing.

Any broader creative-content license, production rights or confidentiality agreement must be addressed in the applicable project agreement.

Third-Party Websites and Content

The Sites may contain links to third-party websites or include content or services provided by third parties. Such links and content are provided solely for convenience. BTIG does not control and is not responsible for the content, accuracy, policies, or practices of any third-party websites.

Your use of any third-party website is at your own risk and subject to the terms and conditions of those third-party sites. BTIG does not endorse any third-party products, services, or information.

Privacy Policy

Any personal information you provide through the Sites is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimers and No Warranties

Website information is provided for general information and may change. We take reasonable care with the content, but do not promise that access will be uninterrupted or that all information will always be complete or current. Confirm project details, availability, scope and pricing directly with BTIG.

Any exclusion of a representation or warranty applies only to the extent permitted by law. Nothing excludes a mandatory warranty, duty to exercise reasonable care or other protection that cannot lawfully be excluded.

Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or remedy that applicable law does not allow to be excluded or limited.

For business users only, and to the extent permitted by applicable law, BTIG excludes indirect or consequential losses arising solely from use of this informational website and limits its aggregate liability for that use to US$100. These limitations do not govern separately contracted services and do not apply to consumers or override the preceding paragraph.

Consumers retain the remedies and protections provided by applicable law, including mandatory rules in their country of residence where those rules apply.

Indemnification

For business users only, and only to the extent permitted by law, you are responsible for third-party claims and reasonable losses directly caused by your unlawful use of the website or material you provide without the necessary rights. This does not require you to indemnify BTIG for its own fault or for liability that cannot lawfully be transferred.

This business provision does not apply to consumers and does not alter any separate negotiated service agreement.

Site Availability and Internet Security

We may maintain, update or restrict website functions for legitimate operational, legal or security reasons. Internet and email communications are not guaranteed to be uninterrupted or fully secure. These limitations do not remove duties or liability imposed by applicable law.

Changes to These Terms

Last updated: October 1, 2026. Changes will be posted here with an updated date and notified where required. They do not retrospectively amend an agreed service contract. Any acceptance required by law will be obtained separately.

Governing Law and Jurisdiction

For business users, these website Terms are governed by Florida law, excluding its conflict-of-law rules, and disputes may be brought in the competent state or federal courts in Miami, Florida, subject to mandatory applicable law and any separate agreement.

For consumers, this choice does not deprive you of mandatory protections under the law of your habitual residence where they apply, or of a right to bring proceedings in your local competent courts. Nothing requires a waiver of a non-waivable court, jury, complaint or regulatory right.

Miscellaneous

If a provision is invalid or unenforceable, mandatory law applies and the remaining provisions continue to the extent legally possible. Headings do not change meaning. These Terms do not restrict copyright exceptions, statutory privacy rights or other non-waivable rights. The English and Spanish versions are intended to communicate the same terms; mandatory local language and interpretation rules take precedence.
